Terms of Service

1. Acceptance of Terms
By accessing or using the ERP71 platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
2. Description of Service
ERP71 is a cloud-based retail management platform providing point-of-sale (POS), inventory management, sales analytics, customer relationship management, and integrated BDT payment processing for businesses operating in Bangladesh and internationally. The Service is provided on a subscription basis as further described in Section 4.
3. Account Registration
To use the Service you must create an account by providing accurate and complete information including your legal name, business name, and a valid email address. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately at info@erp71.com of any unauthorised access.
- Ensuring that all staff accounts you create comply with these Terms.
You must be at least 18 years old and legally capable of entering into binding contracts under the laws of Bangladesh to register for the Service.
4. Subscription & Billing
ERP71 is offered on paid subscription tiers priced in Bangladeshi Taka (BDT), billed monthly or yearly. Current plans, inclusions, capacity limits and any one-time setup fee are listed on our pricing page, which is the authoritative statement of what each plan costs. The price shown at checkout is the price that applies to your subscription.
The tier you subscribe to also carries its own terms — which modules it licenses and what obligations they place on you. Those are set out in Section 11 and form part of this agreement for your plan.
- Activation. New workspaces require a paid plan and successful checkout before full access is granted. Free trials and the free tier are temporarily unavailable while platform capacity is being scaled.
- Auto-renewal. Subscriptions renew automatically each calendar month on the anniversary of your start date. You authorise ERP71 to charge the applicable BDT amount to your payment method on file on each renewal date.
- Cancellation. You may cancel or downgrade your subscription at any time from Account Settings. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued unless required by applicable law.
- Taxes. All prices are exclusive of VAT and any other taxes imposed by the National Board of Revenue (NBR) of Bangladesh. You are responsible for remitting applicable taxes.
- Payment methods. We accept bKash, Nagad, SSL Wireless, and major debit/credit cards. All transactions are processed in BDT.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, including those of Bangladesh.
- Process transactions for illegal goods or services.
- Reverse-engineer, decompile, or attempt to extract the source code of the platform.
- Introduce malicious code, conduct denial-of-service attacks, or scrape data at scale.
- Resell or sublicense access to the Service without our express written consent.
- Impersonate another person or entity.
We reserve the right to suspend or terminate accounts found to be in violation of this section without prior notice.
6. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your data as described in that policy. All business and transaction data you enter remains your property; ERP71 acts as a data processor on your behalf.
7. Intellectual Property
The Service, including all software, designs, trademarks, and documentation, is owned by ERP71 Ltd. and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes. No other rights are granted.
Your business data, logos, and content remain your intellectual property. You grant ERP71 a limited licence to store, display, and process that content solely for the purpose of providing the Service.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
- ERP71's total aggregate liability arising from or related to these Terms shall not exceed the amount you paid for the Service in the three months preceding the claim.
- ERP71 shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, even if advised of the possibility.
9. Termination
Either party may terminate these Terms at any time. You may do so by cancelling your subscription and deleting your account. ERP71 may suspend or terminate your access immediately for breach of these Terms, non-payment, or if required by law. Upon termination, your right to use the Service ceases. You may export your data for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh. Nothing in this section limits any statutory consumer rights you may have under applicable Bangladeshi law.
11. Plan-Specific Terms
Sections 1–10 apply to every subscriber. The terms below apply in addition, according to the tier your workspace is on, and are part of what you accept when you create or change a subscription. Where a plan-specific term conflicts with Sections 1–10, the plan-specific term governs for that tier.
Prices, capacity limits and inclusions are not restated here — they are published on the pricing page for the reason given in Section 4.
Starter
Single-location retail, entry tier.
- Single workspace. Starter licenses one workspace operating from a single location. Multi-branch operation, branch switching and additional warehouses are not licensed under this tier and remain unavailable until the subscription is upgraded.
- Capacity. Users, locations and catalog size are capped at the figures published for Starter on the pricing page. Where a cap is reached, the Service will decline further records of that kind rather than bill an overage; continuing requires an upgrade.
- Support. Support on Starter is provided by email only, to the response target published for the tier. Telephone and live chat support are not included. This does not affect the availability commitment in the SLA, which is identical across all paid tiers.
Accounting edition
Bookkeeping only — deliberately not a rung on the retail ladder.
- Retail modules are not licensed. The Accounting edition licenses the ledger, financial reporting and related bookkeeping modules only. Point of sale, inventory, CRM, the online storefront and manufacturing are not licensed under this tier. Their absence is a term of this plan and not a defect, and you agree not to circumvent the restriction by any means.
- Your clients’ data. Where you use the Accounting edition to keep books on behalf of third parties, you remain responsible for your own engagement terms with those parties, for the lawful basis on which you upload their records, and for any statutory retention obligations attaching to them.
- Moving to a retail tier. Upgrading from the Accounting edition to a retail tier enables modules that were previously unavailable and does not migrate or reinterpret existing ledger data. Opening balances and mappings remain your responsibility.
Growth
Multi-branch retail with a public storefront and CRM.
- Public storefront. Growth licenses a public online storefront. When you publish one you become the seller of record for orders placed through it, and are responsible for the accuracy of the listings, the fulfilment of the orders, and your own returns and consumer-rights obligations. ERP71 provides the platform and is not a party to any sale you make through it.
- Shopper data. Personal data your storefront collects from shoppers is processed by ERP71 on your instructions. You are the controller of that data and we are your processor; the handling terms in Section 6 and the Privacy Policy apply. You are responsible for publishing your own privacy notice on the storefront.
- CRM and outbound messaging. Where you use the CRM, loyalty or campaign features to contact customers, you warrant that you hold a lawful basis for each contact and will honour opt-outs. Sending unsolicited bulk messages through the Service is a breach of Section 5 and may result in suspension of the messaging features without notice.
- Multi-branch access. Branches share one tenant and one audit log. Restricting a user to a branch is a permission setting under your control; ERP71 does not guarantee that any branch’s data is invisible to an administrator you have granted tenant-wide rights to.
Business
Multi-branch operators running payroll, manufacturing or imports.
- When these terms apply. These terms take effect for a workspace on the Business tier from the date its subscription begins. Upgrading to Business from a lower tier brings the whole of this addendum into force at that point, including the payroll and API obligations below, for the workspace as it then stands.
- Payroll and HR. The payroll module calculates and records; it does not file. You remain the employer of record and are solely responsible for the correctness of wages, deductions, income tax, and any contribution or reporting obligation owed to the National Board of Revenue or any other authority. Figures produced by the Service are an aid to your own compliance and not tax advice.
- Manufacturing and imports. Bills of materials, production costing, landed-cost apportionment and letter-of-credit records are recorded as you enter them. Valuation and customs treatment of the resulting figures remain your responsibility and that of your advisers.
- API and white-label use. API access is licensed for your own workspace’s data. You may not resell API access, expose it to third parties as a product of your own, or exceed published rate limits. White-label presentation does not transfer ownership of the platform or any part of it; Section 7 continues to apply in full.
Enterprise
Contracted separately — these Terms are the floor, not the agreement.
- A signed agreement governs. Enterprise is not sold self-serve and is not activated by accepting these Terms. It is provided under a separately negotiated and signed agreement. Where that agreement conflicts with any provision of these Terms — including the liability cap in Section 8, the termination rights in Section 9, and the availability commitments in the SLA — the signed agreement prevails.
- Until one is signed. If an Enterprise workspace is provisioned before its agreement is executed, these Terms govern the interim period in full. Nothing said during procurement varies them until it is in the signed agreement.
- Dedicated infrastructure and SSO. Dedicated database hosting, single sign-on, custom modules, data migration and named account management are scoped in the signed agreement. They are not implied by these Terms and are not available by accepting them.
